What’s expected of WQED Directors?

  • Actively participate in quarterly meetings, currently scheduled for 5:00 p.m. on Thursdays: April 18, August 1, and September 26, 2024 at 4802 Fifth Ave, Pittsburgh.
  • Join at least one Committee. Options include Audit; Community Engagement; Development; Finance, Business & Operations; and Governance/Nominating. Committees currently meet quarterly via Zoom on weeknights.
  • Complete at least one, three-year term to get acclimated and maximize your impact. (All terms end with our fiscal year, on Sept. 30th. The first term for any director elected earlier shall expire on Sept. 30th following their third mid-year anniversary.) Our bylaws provide a three-term (nine-year) limit for continuous board service.
  • Develop an understanding of WQED’s programs and services so that you can serve as an ambassador and help persuade friends, family, colleagues, and neighbors to get involved. (We’ll provide materials like this community impact report.)
  • Make or solicit financial contributions of at least $2,500/year. We expect 100% participation from our Directors to show funders that our governing body values WQED’s mission and actively supports the Corporation’s initiatives.

WQED’s directors are not financially compensated for their board service.

As with any non-profit organization, members of WQED’s Board of Directors must fulfill important legal and fiduciary responsibilities, both to the institution and the public we serve. These are often referred to as the duty of care, loyalty and obedience.

  • The duty of care requires your active participation in governance and oversight of WQED’s activities, including taking prudent steps to help advance our goals.
  • The duty of loyalty requires you to act in the best interest of WQED at all times; and

The duty of obedience requires your help ensuring that WQED complies with laws and regulations, acts in accordance with its policies, and appropriately carries out its mission

How does WQED select candidates?

We’re prioritizing candidates with proven functional expertise in at least one of these areas:

  • community and economic development;
  • development, membership, or charitable giving;
  • finance and accounting;
  • grassroots advocacy, public relations, or marketing;
  • investment strategy and portfolio management; or
  • non-profit governance.

One of our key strategic priorities is to better reflect the diversity of our neighbors across southwestern Pennsylvania. That’s across many facets: geography, age, gender, race/ethnicity, religion, income, education, etc.

Under Pennsylvania law, directors of non-profit corporations must be individuals at least 18 years of age. WQED’s bylaws call for directors who “shall be chosen, insofar as practicable, to represent all communities, geographic and otherwise, served by the Corporation.”

Within Allegheny County, we are actively seeking representation from communities located:

  • west of the Ohio River (e.g. Bridgeville, Coraopolis, Green Tree, North Fayette);
  • south of the Monongahela River (e.g. Baldwin, Bethel Park, Upper St. Clair, Whitehall); and
  • north of the Allegheny River (e.g. Hampton, McCandless, O’Hara, Wexford).

We also welcome interest from leaders residing in Armstrong, Beaver, Butler, Westmoreland and Washington counties, which receive WQED’s over-the-air television broadcast and participate in our educational initiatives in schools and libraries.
